€165M equity injection · €1.595B pre-money valuation · Econergy stake increases to 79.26%

Econergy Ltd (TASE: ECNR) announces that on 26 June 2026 it signed a share subscription agreement with Econergy International Limited (“Econergy England”), and with RGreen — comprising Infragreen IV, Infragreen V, and Ecogreen Corporate, the co-shareholders of Econergy England — pursuant to which Econergy will invest €165 million in Econergy England in consideration for 4,010,848 ordinary shares.

The shares represent 9.37% of Econergy England’s issued share capital following completion of the allotment, implying a pre-money valuation of approximately €1.595 billion for Econergy England. The terms of the investment and allotment, and the valuation of Econergy England, were determined by agreement between the shareholders and in accordance with the parties’ respective holdings.

Following completion of the allotment, Econergy’s direct shareholding in Econergy England will increase from 77.11% to 79.26%. RGreen did not participate in the allotment, provided its consent, and waived its preemption rights in connection therewith.
